• The following are the terms and conditions of the agreement (the "Agreement") between Off The Bounce, LLC.("OTB") and Webmasters with respect to the Program:
• Only one account is allowed per company or individual.
• We do no accept webmaster accounts from :
  Albania, Armenia, Azerbaijan, Belarus, Brazil, Bulgaria, China, Costa Rica, Croatia, Czech Republic, Estonia, Georgia, Hungary, Iberville(Quebec), India, Indonesia, Israel, Japan, Jordan, Kaliningrad, Kazakhstan, Korea (North and South), Kyrgyzstan, Latvia, Lithuania, Malaysia, Moldova, Pakistan, Philippines, Poland, Romania, Russia, Singapore, Slovakia, Slovenia, Syria, Taiwan, Tajikistan, Thailand, Turkey, Turkmenistan, Ukraine, United Arab Emirates, Uzbekistan, and Yugoslavia.
• We will not pay you any commissions for traffic generated from sites that originate from, or where the IP address is traced to the following countries.
  Afghanistan, Albania, Andorra, Argentina, Armenia, Azerbaijan, Bahrain, Belarus, Brazil, Brunei Darussalam, Bulgaria, Cayman Islands, Chile, China, Colombia, Costa Rica, Croatia, Cuba, Czech Republic, Dominican Republic, Ecuador, Egypt, El Salvador, Estonia, Fiji, Finland, Georgia, Greece, Hong Kong, Hungary, Iberville(Quebec), Iceland, India, Indonesia, Iran, Iraq, Israel, Italy, Jamaica, Japan, Jordan, Kaliningrad, Kazakhstan, Korea (North and South), Kuwait, Kyrgyzstan, Latvia, Lebanon, Lithuania, Macedonia, Malaysia, Malta, Mauritius, Moldova, New Zealand, Nicaragua, Oman, Pakistan, Paraguay, Peru, Philippines, Poland, Portugal, Puerto Rico, Qatar, Romania, Russia, Saudi Arabia, Singapore, Slovakia, Slovenia, South Africa, Spain, Sudan, Syria, Taiwan, Tajikistan, Thailand, Tobago, Trinidad, Tunisia, Turkey, Turkmenistan, Ukraine, United Arab Emirates, Uzbekistan, Venezuela, Yemen, Yugoslavia.
  We do offer you the ability to re-direct traffic from the above countries to a url of your choice. You can do this on the "edit your information page"
• Banners must be downloaded and uploaded to your server for use. Hot linking banners from Click Me Media or any other Click Me Media Webmaster without permission will result in forfeiture of any monies due the offending webmaster and termination of account.
• Pay out For Pay sites Sales We agree to pay you $27-$35 for each approved signup you generate.
  Pay out For 4Free Sales We agree to pay you $1.00-$1.15 for each confirmed sign up you generate + $10 per up sell.
  Pay out For Webmaster Referrals We agree to pay you 5% of the total revenue of the webmaster you refer. Whether they send traffic to our 4free site or pay sites or both you get 5% of what they make.
  Pay site Bonus Send over 50 sales in a pay period and get an additional $150
  4Free Bonus Send over 1750 sales in a pay period and get an additional $175
  When you have generated a sign up(s), you will be paid bi-monthly by check from [Off The Bounce, LLC.] when your balance reaches $50 or more.
  Your check is sent to you within ten days from the end of each pay period for the previous period's transactions.
  Payment for sales made from the 1st through the 15th of the month will be paid on the 25th of the month (Pay out Period 1).
  Payment for sales made from the 16th through the end of month will be paid on the 10th of the following month (Pay out Period 2).
• Webmaster referrals - you may not refer accounts of family members, friends, or members of the same company as you.
• Under the strict new Visa & Mastercard regulations, all accounts will be closely monitored for excessive charge backs. Accounts with excessive charge backs will be asked to leave the program.
• We reserve the right to terminate any account for any reason with notification. Once the termination is sent out, all monies due will be paid out till that time of termination. In the event an account was terminated for breaking any of the rules on this page no monies will be paid out!
• No spamming email, newsgroups, ICQ, Instant Messengers or Search Engine Adult Groups, all referrals must come from web site URLs only. Failure to comply to this request will result in the immediate cancellation of the account from which the hits were sent and also may result in the forfeiture of any funds owed to that account.
• All ClickMeMedia affiliates promoting our sites via e-mail, regardless of your country of residence, or the country in which your mail server resides. must be compliant with the CAN-SPAM act.
  
  The Federal Trade Commission has issued its Final Rule regarding the sending of sexually explicit commercial e-mail.
  
  The new ClickMeMedia CAN-SPAM compliant mailing terms are as follows:
  
  1) All e-mail must contain the exact phrase "SEXUALLY-EXPLICIT:". This must be contained in capital letters as the first 19 characters at the beginning of the subject line. This phrase in the subject line must be in ASCII format.
  
  2) The SEXUALLY-EXPLICIT: mark must also be included in the initially viewable area (termed the "brown paper wrapper") of the e-mail message. The initially viewable area of the message is defined as the portion of the message that is immediately visible to the recipient without taking any affirmative action to view the message, like scrolling down or clicking a link that leads to the sexually explicit material.
  
  3) Sender must EXCLUDE from both the subject heading and initially viewable area of the message any sexually explicit words or visual depictions. Therefore, the subject heading and initially viewable area must EXCLUDE words and/or images that depict the following:
  Actual or simulated -
  (A) Sexual intercourse, including genital-genital, oral-genital, anal-genital, or oral-anal contact, whether between persons of the same or opposite sex;
  (B) Bestiality;
  (C) Masturbation;
  (D) Sadistic or masochistic abuse
  (E) Lascivious exhibition of the genitals or pubic area of any person.
  
  
  4) In addition to the SEXUALLY-EXPLICIT: mark, the initially viewable area of the e-mail must also INCLUDE the following:
  a. clear and conspicuous notice that e-mail message is for an advertisement or solicitation
  b. clear and conspicuous opt-out instructions and link
  c. functioning return e-mail address or other Internet based mechanism to opt out;
  d. clear and conspicuous valid physical postal address of e-mail sender;
  e. instructions as to how to access the sexually explicit materials.
  
  
  "Clear and conspicuous" means that the recipient must be able to actually see the information required. One cannot, for example, place the physical address (or other required information) in a color that cannot be distinguished from the background, or in a font size that is too small to read.
  
  We recommend that you read the FTC's Final Rule carefully yourself, and consult with your attorney if you have any questions about the requirements of the Rule.
• We are not responsible if you link to our program incorrectly.
• You will be paid according to the billing records provided by our billing companies.
• If in the un likly event of a difference between the billing records and the real time stats the billing records will determine you signups.
• If you sign up to a pay site using your own linking code, or ask friends, family etc, to do so, we will consider your account to be fraud and you will not be paid at all.
• If you promote our sites within a password protected members area or AVS members area you are required to provide us a username / password upon request.
• Sites dealing with illegal content will not be allowed into our program.  Password traders, spammers, beastiality, or child porn sites need not apply. 
• The relationship between Webmasters and OTB shall be only as described herein, and shall not be construed to create a partnership, agency or employment relationship between the Webmaster and OTB.
• You are required to enter a Federal Tax ID or Social Security number on the registration form. OTB will issue a Form 1099 for all U.S. domestic entities to which OTB makes combined yearly payments of $600.00 or more.
• OTB is also granting Webmasters a limited, non-exclusive, non-transferable license, during the term of this Agreement, to use graphics, including banners, and other intellectual properties (collectively the "Content") owned or licensed by Off The Bounce, LLC. for the sole purpose of marketing, advertising and promoting OTB's site(s). Webmasters may not copy, transfer, alter or modify any banner, page or any Content, in any way, without the prior written permission of OTB.
• The license herein granted shall automatically and immediately cease upon the termination of this Agreement.
• The Webmaster warrants and represents that he/she owns or operates a lawful and otherwise valid Internet web site. The Webmaster further represents that he/she has the requisite power and authority to enter into this Agreement and perform the obligations set forth herein.
• The Webmaster also warrants and represents that he/she is at least eighteen (18) years of age and that performance under this Agreement does not and will not constitute a breach of any existing contract or obligation undertaken by him/her; and that there are no outstanding orders, judgments, decrees, rules or regulations which would preclude him/her from entering into this Agreement. The Webmaster agrees to indemnify OTB and its shareholders, officers, directors, employees and agents against any loss, damage or liability (including reasonable legal fees) which result from his/her acts or omissions or from the use of any Content or other OTB materials not expressly authorized by this Agreement.
• OTB. will not be held responsible for loss due to downtimes resulting from complications with your hosting equipment or technical errors.
• If an account is found to be in violation of the agreement set forth, your account will be cancelled and you will not be paid.
• We reserve the right to cancel this program at any time, without prior notification. In such cases you will be notified immediately and paid for ALL accumulated funds up to that point in time.
• We reserve the right to deny any prospective webmaster from joining our program for any reason, based on the content of their web site or for any other reason we deem just.
• All funds are paid by US checks in U.S. funds.
